Stagwell Reaches Essential Mixture Milestone

WASHINGTON, Feb. 8, 2021 /PRNewswire/ — Stagwell Media LP (“Stagwell”) announced today its combination (the “Proposed Transaction”) with MDC Partners, Inc. (“MDC”), which was previously announced, has reached several important additional milestones.

On February 5, 2021, MDC announced it had received consents from a majority of the holders of its 7.500% Senior Notes due 2024 in connection with the Proposed Transaction. In addition, the statutory waiting period under the HSR Act expired on February 5, 2021. On February 8, 2021, MDC filed a registration statement on Form S-4 with the U.S. Securities and Exchange Commission, also in connection with the Proposed Transaction.
